Service Agreement

Terms & Conditions

Version January 2025

1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of TechAbout's websites, digital platforms, software, and professional services (collectively, the "Service"). By accessing or using the Service you acknowledge that you have read, understood, and agreed to be bound by these Terms and by any additional policies referenced herein.

If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization to the agreement. Individuals or entities that do not agree to these Terms must discontinue use of the Service immediately.

2. Description of Service

TechAbout delivers enterprise-grade technology consulting, software engineering, design, managed services, and support programs. Engagements typically include:

  • Custom web, mobile, and product development accelerators
  • Cloud infrastructure, DevOps, cybersecurity, and automation initiatives
  • Artificial intelligence, data platforms, and machine learning solutions
  • Digital transformation and change management consulting
  • Staff augmentation, training, and lifecycle support services

We may enhance or discontinue components of the Service to maintain security, compliance, and innovation. Any material change will be communicated through contractual notices or platform announcements where practical.

3. User Accounts & Registration

Clients must provide complete and accurate information when creating accounts, provisioning user seats, or requesting project access. You are responsible for safeguarding credentials, implementing least-privilege access controls, and notifying TechAbout immediately of suspected compromise.

Enterprise contracts may specify additional identity and access management (IAM) requirements. TechAbout reserves the right to suspend accounts that exhibit suspicious, abusive, or non-compliant activity.

4. Acceptable Use Policy

Customers and authorized users must not:

  • Violate applicable laws, regulations, export controls, or industry mandates
  • Infringe intellectual property, privacy, or confidentiality rights of any party
  • Upload malicious code, perform penetration tests, or disrupt platform integrity without written consent
  • Decompile, reverse engineer, or attempt to bypass security, usage, or billing controls
  • Misrepresent identity, impersonate third parties, or harvest personal data without lawful basis

TechAbout enforces layered monitoring, rate limiting, and incident response procedures. Breaches of this Acceptable Use Policy may result in immediate suspension and contractual remedies.

5. Intellectual Property & Ownership

Unless expressly transferred, TechAbout retains ownership of pre-existing methodologies, accelerators, design systems, content, and software artifacts. Deliverables commissioned by a client become that client's property subject to full payment and applicable license terms.

Trademarks, logos, and brand assets may not be used without written authorization. Clients grant TechAbout a limited, non-exclusive license to host, process, and display assets necessary to provide the Service.

6. Client Content, Feedback & Compliance

Clients warrant that content supplied to TechAbout—including data, media, and third-party integrations—is lawful and properly licensed. You grant TechAbout a global, royalty-free license to use such content solely to deliver contracted services and support.

Submitted feedback, ideas, or improvement requests may be incorporated into TechAbout products without obligation. Sensitive or regulated information should be transmitted only over approved secure channels.

7. Commercial Terms & Billing

Unless otherwise specified in a statement of work, invoices are due upon receipt. Overdue balances may incur late fees, interest, or service suspension. Taxes, withholding obligations, and currency conversion costs are the responsibility of the client.

Retainers, milestone payments, and subscription renewals are non-refundable except where required by law or explicitly outlined in contractual change orders.

8. Service Availability & Support

TechAbout operates globally distributed infrastructure and follows ITIL-aligned change, incident, and problem management frameworks. While we pursue 99.9%+ availability targets, temporary outages may occur for maintenance or factors beyond reasonable control.

Support entitlements, SLAs, and response targets depend on the selected service tier. Critical incidents should be reported through the Support Center or designated emergency channels.

9. Limitation of Liability

To the fullest extent permitted by law, TechAbout is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages—including lost revenue, data, goodwill, or business interruption—arising from the Service.

Aggregate liability for claims under these Terms is limited to the fees paid by the client in the twelve (12) months preceding the incident giving rise to the claim.

10. Indemnification

Clients agree to defend, indemnify, and hold harmless TechAbout, its officers, directors, employees, and partners against claims, damages, or expenses arising from (a) violation of these Terms, (b) infringement by client-supplied materials, or (c) misuse of the Service.

TechAbout will provide prompt notice of indemnifiable claims and cooperate fully at the client's expense.

11. Privacy & Data Protection

TechAbout's handling of personal data is detailed in our Privacy Policy and supporting GDPR documentation. Where required, we will execute Data Processing Agreements (DPAs), apply encryption controls, and support data subject rights requests.

Clients remain the controller of their data and must ensure lawful instructions, classification, and retention policies.

13. Suspension & Termination

TechAbout may suspend or terminate access immediately if a client breaches these Terms, engages in unlawful activity, or causes reputational risk. Clients may terminate for convenience with written notice subject to the termination provisions in their master agreement or statement of work.

Upon termination, outstanding fees become due, and TechAbout will provide data exports in a mutually agreed format where applicable.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles, unless an overriding jurisdiction is stipulated in a mutually executed contract.

Parties will first attempt to resolve disputes amicably. Unresolved matters shall be submitted to arbitration in Wyoming under applicable arbitration provisions, unless otherwise agreed in writing.

15. Updates to Terms

TechAbout may revise these Terms to reflect operational, legal, or regulatory changes. Material updates will be communicated via email notices, client portals, or prominent website banners at least thirty (30) days prior to effectiveness where feasible.

Continued use of the Service following an update constitutes acceptance of the revised Terms.

16. Contact & Notices

Formal notices, legal queries, or escalations can be directed to our legal team. Operational updates, vendor onboarding information, or security notifications should be routed through your designated TechAbout engagement team.
